5. Client Responsibilities

To deliver our services effectively, we rely on clients to:

• Provide accurate, complete, and timely information, access, and assets (such as brand guidelines, website/CMS access, or ad account access) needed for the engagement.
• Review and approve deliverables, creative, and campaigns within agreed timeframes.
• Ensure they have the rights to any content, trademarks, or material they provide us for use in their campaigns.
• Make payments in accordance with the agreed engagement terms.

Delays in providing the above may affect project timelines and results, and JOD is not responsible for delays caused by incomplete or late client input.

6. Fees & Payment Terms

Fees for our services are set out in the applicable proposal or service agreement. Unless otherwise agreed in writing:

• Invoices are payable within the timeframe stated on the invoice.
• Fees do not include third-party costs such as ad spend, domain/hosting charges, stock assets, or paid tools/subscriptions required for the engagement, which are billed separately or paid directly by the client.
• Applicable taxes (such as GST) will be added to invoices as required by law.
• We reserve the right to pause work on overdue accounts until outstanding payments are settled.

7. Intellectual Property

All content on the JOD website — including text, graphics, logos, and design — is the property of JOD Business Services or our licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from this content without our prior written permission.

Ownership of deliverables created specifically for a client (such as a website, ad creative, or brand assets) transfers to the client upon full payment for the relevant engagement, except for JOD's pre-existing tools, frameworks, and know-how, which we retain the right to reuse across other engagements.

8. No Guarantee of Results

Digital marketing outcomes — including search rankings, traffic, ad performance, leads, and conversions — depend on factors outside our control, such as search engine and ad platform algorithms, market competition, seasonality, and the client's own website, offer, and market conditions. While we apply industry best practices and our professional expertise to every engagement, JOD does not guarantee specific rankings, traffic volumes, lead counts, or revenue outcomes unless explicitly stated in a signed agreement.

9. Third-Party Platforms & Accounts

Where our services involve third-party platforms — such as Google Ads, Google Analytics, Meta Ads, hosting providers, or CMS platforms — those platforms have their own terms of service, and JOD is not responsible for outages, policy changes, account suspensions, or algorithm updates made by those platforms. Where the client owns the relevant ad or platform account, the client remains responsible for that account's billing and compliance with the platform's own terms.

10. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or financial information shared during an engagement, and to use it only for the purposes of that engagement, except where disclosure is required by law.

11. Limitation of Liability

To the maximum extent permitted by law, JOD Business Services shall not be liable for any indirect, incidental, special, or consequential damages — including loss of profits, revenue, data, or business opportunity — arising from your use of our website or our services. Our total liability for any claim arising from an engagement shall not exceed the total fees paid by the client to JOD for the specific service giving rise to the claim.

12. Indemnification

You agree to indemnify and hold JOD Business Services, its team, and affiliates harmless from any claims, damages, liabilities, and expenses (including legal fees) arising from your breach of these Terms, misuse of our website or services, or infringement of any third party's rights through content or material you provide to us.

13. Termination

Either party may terminate an ongoing engagement in accordance with the notice period and terms set out in the relevant service agreement. JOD reserves the right to suspend or discontinue access to our website, or decline to provide services, where these Terms are breached or where continuing to do so would be unlawful or commercially unreasonable.

14. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms, our website, or our services shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu.
